2. Service Description
2.1 TickUp Services
TickUp is an AI-powered productivity solution designed to help users manage their time, tasks, and focus through features including Smart Context Switching, Deep Work Catalyst, and various integration capabilities with third-party services.
2.2 Account Registration
To access certain features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
2.3 Account Security
You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your account.
2.4 Age Restriction
You must be at least 16 years old to use the Services. If you are under 18, you represent that you have your parent's or guardian's permission to use the Services and that they have read and agreed to these Terms.
3. User Conduct and Content
3.1 Prohibited Activities
You agree not to engage in any of the following:
- Using the Services for any illegal purpose or in violation of any laws
- Interfering with or disrupting the Services or servers or networks connected to the Services

- Your User Content does not infringe or violate the rights of any third party
4. Subscriptions and Payment
4.1 Subscription Plans
We offer various subscription plans, including a free plan with limited features and premium plans with additional features. By selecting a premium plan, you agree to pay the subscription fees as described at the time of purchase.
4.2 Payment and Billing
When you purchase a premium subscription:
- You authorize us to charge the payment method you provide
- Subscriptions will automatically renew unless cancelled at least 24 hours before the end of the current period
- Prices are inclusive of applicable taxes unless stated otherwise
4.3 Refunds
Refunds are provided in accordance with the refund policy published on our website or as required by applicable law. For monthly subscriptions, we do not provide refunds for partial subscription periods.
4.4 Free Trials
We may offer free trials of premium features. Unless you cancel before the end of the trial period, you will be charged for the subscription plan selected when the trial period ends.

9. Term and Termination

You may terminate these Terms at any time by cancelling your account and ceasing all use of the Services.

We may terminate or suspend your access to all or part of the Services, with or without notice, for any conduct that we, in our sole discretion, believe violates these Terms or is harmful to other users of the Services, our business, or third parties, or for any other reason.
9.4 Effect of Termination
Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may freely assign or transfer these Terms without restriction.
10.6 Entire Agreement
These Terms, including our Privacy Policy, constitute the entire agreement between you and us regarding our Services and supersede and replace any prior agreements we might have had between us regarding the Services.
